TERMS AND CONDITIONS FOR THE

APPLIED SYSTEMS MEET THE MARKET 2022 PRIZE DRAW (“OFFICIAL RULES”)

These official rules govern the terms and conditions of the Applied Systems Meet the Market 2022 Prize Draw (hereinafter “Contest”). By participating in this Contest, the “Entrant” accepts the terms and conditions of these Official Rules and agrees to be bound by such.

Eligibility: This Contest is open only to individuals registered for the Brokers Ireland Meet the Market Day 2022 insurance broking conference. Entrants do not need to be a current customer of Applied Systems Europe Ltd. or its affiliates to enter. Employees of ASE Software Ireland, Brokers Ireland, their related affiliates and subsidiaries, and their immediate family members are not eligible. Entrants must be eighteen (18) years of age or older and a resident of the United Kingdom or Ireland to participate. Void where prohibited by law.

Sponsor: This Contest is sponsored by ASE Software Ireland, Ltd. (“APPLIED”) company number 3502925 with a registered office address of Unit 6, Galway Technology Centre, Mervue Business & Technology Park, Galway, H91 A560, Ireland.

Contest Period: The Contest starts at 09:00 AM IST on Thursday 15th September 2022, and ends at 15:00 BST on Thursday 15th September 2022 (“Contest Period”). Entries received or completed after the Contest has ended will not be considered. The Contest may be modified, suspended, cancelled, or terminated, in whole or in part, at any time without prior notice at APPLIED’s sole discretion.

How to Enter: In order to enter this Contest random prize draw, Entrants must complete the Entry Form via the link provided by the meeting host or provide a business card onsite by the end of the Contest Period. No purchase necessary for entry; however, participation in the Contest requires a smartphone or other computing device that is capable of accessing the Entry Form, or a business card. For purposes of these Official Rules, “receipt” of entry occurs when APPLIED’s server records the receipt of the Entry Form or uploaded business card detail. Any automated computer receipt does not constitute proof of actual receipt by APPLIED for purposes of these Official Rules. Only one (1) entry per person is permitted.

Restrictions: Entries must not contain anything that, as determined in APPLIED’s sole discretion, is or may be: (1) threatening, harassing, degrading or hateful; (2) defamatory; (3) fraudulent or tortious; (4) obscene, indecent or otherwise objectionable; (5) protected by copyright, trademark or other proprietary right without the express prior consent of the owner of such right; (6) in violation of any applicable statute, regulation, order, rule, treaty or other law; (7) spam, excessive tagging or posting, or other anticompetitive behavior; (8) an advertisement or solicitation; (9) in violation of any third party’s publicity or privacy rights; or (10) otherwise violates any applicable law or regulation.

Prizes & Approximate Retail Value (“ARV”): A total of one (1) prize will be awarded for the Contest through a random drawing of the Entry Forms. From the eligible Entry Forms, APPLIED will randomly select one (1) Entrant to be awarded one (1) gift card voucher [ARV= €100]. Prize winners need not be present in the conference environment at the time of selection to win. APPLIED reserves the right to substitute a prize of equal or greater value in the event that the advertised prize is unavailable. Prizes are awarded “as is” without any warranty or guarantee, either express or implied, by APPLIED. Any applicable taxes, shipping charges, expenses, or other fees are the sole responsibility of the winner. The odds of winning will depend on the number of entries received. Prizewinners will be announced before 4:00pm BST on Friday, 16 September 2022 and will be notified via email provided in the Entry Form, as applicable. Prizes will be delivered to the winner electronically via email.

General Conditions: The Entrant agrees to abide by the terms and conditions of these Official Rules and by the decisions of APPLIED, which are final and binding on all matters pertaining to this Contest. APPLIED reserves the right, at its sole discretion and without prior notice, to (1) disqualify an Entrant or any other person for ineligibility, fraudulent entry, violation of the Official Rules or applicable law, or any attempt to tamper with or deceive the entry or submission process, or any other component of this Contest, which affects or impairs the administration, security, fairness or proper operation of this Contest and (2) cancel, terminate, modify, or suspend this Contest, in whole or in part, at any time, should any computer software, network or system malfunction, or any unauthorized human intervention or other cause corrupt or impair the administration, security, fairness or proper operation of this Contest. This Contest and these Official Rules shall be governed by Irish law and Entrants irrevocably submit to the exclusive jurisdiction of the Irish courts in respect of any action, claim, dispute or other proceeding arising out of or in connection with this Contest or these Official Rules (whether in tort, contract, or otherwise). The Entrant agrees to indemnify, defend and hold harmless APPLIED, and APPLIED’s affiliates and subsidiaries, from and against any actions, claims, fines, costs, losses or damages resulting from the Entrant’s violation of these Official Rules, or of the violation of any law, rights, or terms and conditions of a third party. APPLIED shall not be responsible nor liable (directly or indirectly) for any error (including any omission, modification or destruction of any information) in or failure to receive any email or communication, or for any damages or losses associated with any party’s computer networks, online systems, service providers, computer equipment or software, arising out of or resulting from this Contest. The Entrant agrees to release and hold harmless APPLIED, its respective parents, subsidiaries, affiliates, directors, officers, employees, consultants, agents, and any other entity associated with marketing this Contest from any and all liability or any injuries, loss, or damage of any kind arising out of or in connection with this Contest, the Entrant’s participation in this Contest, or the acceptance, receipt, possession or use of any prize. THE PRIZES ARE DISTRIBUTED “AS IS”. THERE ARE NO WARRANTIES THAT EXTEND BEYOND THE FACE OF THIS AGREEMENT. THERE ARE NO REPRESENTATIONS OR WARRANTIES INCLUDING BUT NOT LIMITED TO STATUTORY WARRANTIES AND CONDITIONS, WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, THIRD PARTIES RIGHTS, AND NON-INFRINGEMENT OF PROPRIETARY RIGHTS. IN NO EVENT WILL APPLIED BE LIABLE TO ENTRANT, ATTENDEE, OR ANY OTHER PARTY FOR ANY CONSEQUENTIAL, INCIDENTAL, OR SPECIAL DAMAGES, INCLUDING ANY LOST PROFITS OR LOST SAVINGS, EVEN IF THE PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY THIRD PARTY ARISING OUT OF OR IN ANY WAY RELATED TO THIS CONTEST. Any attempt by the Entrant or any other person to harm or gain unauthorized access to any web site or computer network of APPLIED (including those of APPLIED’s affiliates and suppliers), or to interfere with the legitimate operation of this Contest or of APPLIED and its affiliates, may be a violation of criminal and civil laws; should any such attempt be made, APPLIED and APPLIED’s affiliates reserve all rights to seek damages from the Entrant or any such other person to the fullest extent permitted by law, in addition to any other rights or remedies that may be available at law or in equity.

Publicity & Releases: By participating in this Contest, the Entrant further grants to APPLIED the right to use and publish the Entrant’s name, company name, likeness, and any comments, reviews, photos, status updates or other material provided in connection with the Contest, for advertising and promotional purposes in any online, print or other media in perpetuity, without limitation and without additional compensation, consideration, permission or notification to the Entrant or any third party, unless prohibited by law. The Entrant must obtain the prior consent of all individuals whose information is provided to APPLIED necessary and sufficient for the disclosure of such information to APPLIED (and APPLIED’s affiliates and suppliers) and for APPLIED to collect and use such information as contemplated herein.

Winners List: For the name of the prizewinner, send a self-addressed stamped envelope to: ASE Software Ireland, Ltd., Unit 6, Galway Technology Centre, Mervue Business & Technology Park, Galway, H91 A560, Ireland, Attn: Marketing Department. Requests received after one month following the end of the Contest will not be fulfilled.
