Applied may offer features and functionality of the Software that utilize, incorporate, Integrate, or interact with machine learning and other artificial intelligence solutions (“AI Features”), including those that may be provided by third parties to generate responsive text, identify differences in materials, analyze data, and provide other outputs (collectively “Outputs”). Licensee acknowledges and agrees that Applied and AI Features may gain access to and use Licensee Data in connection with the AI Features, including but not limited to provide Outputs and improve AI Features, models, software and services, to which Licensee hereby expressly consents. Licensee should not disclose any information to the AI Features that it does not want used for the foregoing purposes. Licensee remains responsible for ensuring any data submitted to AI Features complies with their own confidentiality obligations and regulatory requirements. As between Licensee and Applied, Applied shall retain ownership of all AI Features developed pursuant to these terms.
Applied will process Licensee Data in accordance with applicable data protection laws. AI Features are designed in accordance with Applied's AI principles to be developed with ethical considerations in mind to be fair and non-discriminatory avoiding bias, to be transparent in their decision-making processes, to be accountable for their actions, and to adhere to applicable data privacy laws and regulations. Applied maintains governance frameworks for AI development and deployment, including bias testing and human oversight procedures as required by applicable law.
Licensee, its Affiliates, and its Users are prohibited from manipulating the AI Features or underlying models to bypass or override its built-in ethical, security, safety, or operational constraints to force it to generate restricted or unethical outputs or otherwise take actions to engage in behaviors the AI Features were explicitly designed to prevent. Such prohibited actions include but are not limited to prompt injection attacks, bypassing content filters, exploiting system vulnerabilities, and model manipulation. Applied reserves the right to monitor usage patterns and suspend or terminate access to AI Features immediately upon detection of prohibited activities.
AI Features and Outputs are provided “AS IS”, are not designed for or intended to meet Licensee’s regulatory, legal, or other obligations and Licensee is solely responsible for determining suitability of AI Features and Outputs. Outputs are machine generated, may not be complete, and may contain errors, inaccuracies, and misleading, offensive or biased content, and Licensee agrees not to bypass or attempt to bypass any features designed to block such content. Licensee acknowledges that AI Features and Outputs are new and emerging technology and subject to risk in their use. As such, Licensee: (a) acknowledges that results and output may not be unique and other users may receive similar results and output from the AI features; (b) agrees to: (i) review all Outputs before use; (ii) not rely solely on AI-generated content for decisions affecting individuals' rights or legal obligations or otherwise use the AI Features in violation of consumer protection or other applicable laws; (iii) maintain human oversight as appropriate for Licensee’s use case; and (iv) implement appropriate safeguards when using AI Features in regulated contexts.
Applied disclaims any and all liability and responsibility that may arise from the use of the AI Features or Outputs, including but not limited to breach of third-party rights, use with third-party hardware or software, security issues, or failure to comply with privacy, discrimination, defamation, confidentiality, consumer protection, security laws or other legal requirements. This limitation applies to the fullest extent permitted by applicable law.
